These Terms of Service ("Terms") govern your use of DropTop, an enterprise file consolidation platform provided by Drop.Top by 4Cs B.V. ("we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using DropTop, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our service.
Description of Service
DropTop is an enterprise platform that automates the collection, validation, and consolidation of Excel and CSV files across multiple business entities. Our service includes:
- Automated file collection via email, portal, SFTP, or API
- AI-powered validation and column mapping
- Automated reminders and escalation workflows
- Data consolidation and ETL processing
- Export to various formats and destinations
User Accounts
Account Creation
To use DropTop, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
Account Responsibilities
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
Acceptable Use
You agree to use DropTop only for lawful purposes and in accordance with these Terms. You must not:
- Use the service to transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service
- Upload files containing viruses or malicious code
- Use the service for any fraudulent or deceptive purposes
- Violate any applicable laws or regulations
Data and Files
File Upload and Processing
You retain ownership of all files and data you upload to DropTop. You grant us a limited license to process, store, and transmit your files solely for providing our service.
Data Security
We implement industry-standard security measures to protect your data. However, you acknowledge that no method of transmission over the internet is 100% secure.
Data Retention
Processed files are typically retained for 30 days after completion unless you specify different retention requirements in your service agreement.
Intellectual Property
DropTop and its original content, features, and functionality are owned by DropTop B.V. and are protected by copyright, trademark, and other intellectual property laws. Our service is protected by applicable intellectual property laws.
Payment and Billing
Fees
Service fees are based on your selected plan and number of entities. All fees are exclusive of applicable taxes.
Payment Terms
Payment is due monthly in advance. Late payments may result in service suspension. We reserve the right to change pricing with 30 days notice.
Refunds
Fees are non-refundable except as required by law or as expressly stated in your service agreement.
Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect service availability.
Limitation of Liability
To the maximum extent permitted by law, DropTop B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our service.
Indemnification
You agree to indemnify and hold harmless DropTop B.V. from any claims, damages, or expenses arising from your use of the service or violation of these Terms.
Termination
Either party may terminate this agreement at any time. Upon termination, your access to the service will cease immediately. We may retain your data as required for legal or regulatory purposes.
Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through our platform. Continued use after changes constitutes acceptance.
